Why Technology-Enabled, Engineering, Healthcare, and Specialized Services Are Driving Lower Middle Market M&A in 2026

“Professional services” no longer means accounting firms, law firms, and traditional management consultants. That definition has changed dramatically.

Professional services has evolved into one of the largest and most active sectors in the lower middle market — encompassing specialized businesses that provide mission-critical expertise to corporations, healthcare organizations, manufacturers, government agencies, and private equity-backed portfolio companies. As private equity firms continue to deploy record levels of capital, many of the most attractive investment opportunities are no longer traditional manufacturing or distribution businesses. They’re knowledge-based organizations built around specialized expertise, recurring client relationships, and scalable service delivery.

At N2M Capital Advisors, we continue to see strong buyer interest across a defined set of professional services sectors — the ones with recurring revenue, differentiated expertise, and real opportunity for buy-and-build consolidation. Here’s what’s actually behind the momentum in each, as of mid-2026.

The Seven Sectors Driving Deal Activity

1

Technology Services

Still the number one professional services category. Managed service providers, cybersecurity firms, cloud consultancies, and AI implementation partners continue to command the strongest buyer competition. Across a recent sample of MSP transactions, median EV/EBITDA sits around 8.9x, with scaled, AI-enabled, or cybersecurity-heavy platforms reaching as high as 14x — while private equity buyers appeared in roughly 69% of disclosed MSP deals in 2025.

2

Engineering & Technical Services

One of the fastest-growing professional services categories in the market. Data center buildout, grid modernization, and infrastructure investment are pulling MEP, civil, and specialty engineering firms into the center of dealmaking. Engineering and construction deal values are projected to grow roughly 64% in 2026, and recent large transactions — including a $3.3 billion acquisition at nearly 16x EV/EBITDA — reflect just how much buyers are paying for firms with strong backlog and infrastructure-linked end markets.

3

Healthcare Services

Remains one of the most active sectors for private equity investment, spanning revenue cycle management, physician practice management, behavioral health, and healthcare IT. Buyers are especially drawn to businesses that combine strong recurring revenue with real technology enablement — telehealth, remote patient monitoring, and AI-driven diagnostics chief among them.

4

Government & Defense Services

An increasingly active category heading into the second half of 2026. With base defense spending set at $915 billion and additional appropriations pushing the total U.S. defense budget past $1 trillion for the first time, capital is flowing toward mission-priority lanes — space, cyber, electronic warfare, autonomy, and secure software delivery. National security-focused contractors are attracting multiple bidders, though buyers are pricing size-recertification and contract-novation risk earlier in the process than they used to.

5

Business Process Outsourcing (BPO)

Outsourced finance, fractional CFO services, and AI-enabled BPO continue to grow as small and mid-sized businesses look for higher-level expertise without building full internal teams. The businesses attracting the most buyer interest are the ones combining outsourcing with real automation — not simply offshoring labor.

6

Industrial & Field Services

Industrial maintenance, technical field services, testing, and asset integrity businesses continue to see strong buy-and-build activity in fragmented regional markets. With private equity firms sitting on an estimated $2.6 trillion in uncalled global capital — a meaningful share earmarked for North American industrial and precision technical businesses — this remains one of the more durable consolidation stories in the market.

7

Business Services

The broadest category, and still an active one — consulting, accounting, and specialized advisory firms remain in demand, particularly where recurring revenue and asset-light delivery models command a premium. Professional and business services multiples currently run about half a turn above their historical average, reflecting buyers’ continued preference for predictable, technology-enabled revenue over pure headcount scale.

“Professional services” no longer means one industry. It means any business built on specialized expertise, recurring delivery, and room to consolidate — and that definition now spans technology, engineering, healthcare, and defense.

Expertise Has Become the Competitive Advantage

One of the biggest shifts in today’s M&A market is that buyers increasingly value expertise over size. Businesses with specialized technical knowledge, differentiated capabilities, and trusted customer relationships frequently command stronger buyer interest than larger companies competing primarily on price or headcount.

A cybersecurity MSP, an MEP engineering firm, and a healthcare RCM business look nothing alike on the surface. To a buyer building a platform, they’re evaluated by the exact same framework: is the expertise hard to replicate, is the revenue genuinely recurring, and can the business run without its founder in the room. Whether serving healthcare providers, manufacturers, enterprise technology organizations, government agencies, or industrial customers, that kind of specialized expertise has become one of the most valuable assets a professional services business can possess — and it’s why N2M Capital Advisors concentrates on the seven sectors above, where our own team’s operating background gives clients a real read on how buyers will underwrite the deal.

What This Means If You’re Considering a Sale

If your business sits in one of these seven categories, the buyer pool is broader and more sophisticated than it was even a year ago — but so is the scrutiny. Buyers are underwriting recurring revenue quality, technical differentiation, and founder independence more carefully than ever, regardless of which of these sectors you’re in.

The N2M Capital Advisors Perspective

The old definition of “professional services” — consulting, accounting, generalist advisory — no longer captures where the real deal activity is happening in the lower middle market. The businesses commanding the strongest buyer interest today look more like technical operators than traditional service firms: MSPs with embedded cybersecurity capability, engineering firms feeding data center buildouts, healthcare businesses with real technology enablement, and defense contractors positioned in mission-priority lanes.

As this definition continues to evolve, we believe founders in any of these sectors benefit from understanding not just how buyers evaluate businesses today, but where capital is actually flowing and why. That’s the role we play at N2M Capital Advisors — translating buyer logic back to founders early, through thoughtful preparation, strategic positioning, and disciplined process, well before a transaction begins.
